Acceptance of These Terms

These Terms & Conditions (the “Terms”) form a binding agreement between you (“you,” “your,” or “Customer”) and Tality LLC, d/b/a Tality.ai (“Tality.ai,” “we,” “us,” or “our”), governing your access to and use of the Tality.ai websites, applications, AI agents, voice services, messaging programs, and related services (collectively, the “Services”).

By accessing the Services, submitting a form, opting in to messages, or otherwise using any part of Tality.ai, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Eligibility & Accounts

The Services are intended for use by businesses and individuals at least 18 years of age. By using the Services you represent that you meet this requirement and that any information you provide is accurate and current.

You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account.

The Services We Provide

Tality.ai deploys agentic AI across voice, SMS, email, and web — including AI voice agents, web chat agents, business messaging, and a CRM platform that ties them together — to help businesses capture, convert, retain, and reactivate customers. The specific Services made available to you are described on our website and in any order form, statement of work, or service agreement you sign with us.

We may add, modify, or discontinue features at our discretion to improve quality, performance, security, or compliance. Where a change materially reduces functionality you rely on, we will use reasonable efforts to notify you in advance.

SMS / Text Messaging Program

This section describes the Tality.ai SMS messaging program operated on behalf of Tality.ai and our customers (the “Program”). By providing your mobile phone number and opting in, you agree to the terms below. The Program is operated in compliance with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, CTIA Messaging Principles and Best Practices, and Twilio’s Messaging Policy.

Program description

When you provide your mobile number through a Tality.ai form, contact request, booking page, or other point of capture, and check the SMS consent box, you expressly consent to receive recurring text messages from Tality.ai relating to your inquiry, demo booking, account, customer support, account-related notifications, and (where you have consented) marketing communications.

Message frequency

Message frequency varies based on your activity. You can typically expect up to 8 messages per month. Frequency may be higher during an active demo, onboarding, or support conversation.

Message and data rates

Message and data rates may apply. Tality.ai does not charge a fee for SMS messages, but your mobile carrier may charge you for sending and receiving text messages. Check with your mobile service provider for the rates that apply to your plan.

How to opt out (STOP)

You can cancel the SMS service at any time. Reply STOP to any message you receive from us, and we will stop sending you SMS messages. You will receive a final confirmation message acknowledging your opt-out, after which you will not receive additional messages from us through this Program. To rejoin, sign up as you did the first time and we will start sending messages to you again.

If you are experiencing issues with the messaging program, reply HELP to any message for assistance, or contact us directly at info@tality.ai or 1-855-2TALITY (1-855-282-5489).

Supported carriers

Carriers, including AT&T, T-Mobile, Verizon Wireless, Sprint, Boost, U.S. Cellular, MetroPCS, and others, are not liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission from your wireless service provider and is outside of our control.

Privacy

We respect your privacy. The information you provide will be used to deliver the Services you have requested. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors that support the messaging program (for example, our SMS provider Twilio) is permitted only to the extent necessary to operate the Program. All other uses of your information are described in our Privacy Policy.

Voice AI & Call Recording

Where you place or receive a call through the Services, you acknowledge that AI voice agents may handle some or all of the conversation, and that calls may be recorded, transcribed, and analyzed for quality, training, compliance, and service improvement purposes. Where required by law, we will provide notice and obtain consent at the beginning of the call.

Customers operating their own voice campaigns through Tality.ai are responsible for complying with all applicable laws regarding call recording, robocalls, do-not-call lists, calling-time restrictions, and consent.

Acceptable Use

You agree not to use the Services to:

  • send messages or place calls without the express prior consent required by law;
  • send content related to high-risk financial services, debt collection or relief, get-rich-quick schemes, illegal substances, sexually explicit content, hate speech, or any of the categories prohibited under Twilio’s Messaging Policy or CTIA SHAFT (Sex, Hate, Alcohol, Firearms, Tobacco) restrictions where they apply;
  • impersonate any person or entity, or misrepresent your affiliation;
  • attempt to interfere with, disrupt, reverse engineer, or gain unauthorized access to any part of the Services or related infrastructure;
  • upload or transmit malware, harvested data, or unlawfully obtained personal data;
  • use the Services in violation of any applicable law, regulation, or carrier policy.

We may suspend or terminate access to the Services, immediately and without notice, for conduct that violates these Terms or that we reasonably believe creates legal, security, or carrier risk.

Customer Content & Data

As between you and Tality.ai, you retain all rights, title, and interest in the data you submit to the Services (“Customer Data”). You grant Tality.ai a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely as needed to provide the Services and to perform our obligations to you.

You are solely responsible for ensuring you have all necessary rights, consents, and authority to make Customer Data — including any contact information of your end customers — available through the Services, and for complying with applicable privacy and messaging laws.

Fees & Billing

Fees, billing terms, and payment schedules are described in your applicable order form or service agreement. Unless otherwise stated, fees are non-refundable and exclusive of applicable taxes, which are your responsibility. Late payments may accrue interest at the lower of 1.5% per month or the maximum rate permitted by law.

Term & Termination

These Terms apply for as long as you use the Services. Either party may terminate as set out in your service agreement. Upon termination, your right to access the Services ends. Provisions that by their nature should survive termination — including ownership, warranty disclaimers, indemnities, and limitations of liability — will survive.

Warranty Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Tality.ai DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL MESSAGES OR CALLS WILL BE DELIVERED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Tality.ai’S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO Tality.ai IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

Indemnification

You will defend, indemnify, and hold harmless Tality.ai and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your Customer Data; (b) your use of the Services in violation of these Terms or applicable law; or (c) any messaging or calling campaign you operate through the Services.

Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. The exclusive venue for any dispute arising out of or relating to these Terms will be the state and federal courts located in Florida, and each party consents to personal jurisdiction in those courts.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Updated” date at the top of this page. Material changes will be communicated through the Services or by email where required. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
